Global Cuts Stock Footage

THIS IS A CONTRACT. BY USING THE MEDIA FILES ON THIS DISC, YOU ACCEPT ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT. This copy of the Media Files is licensed only to you as the end user, and can not be transferred.

1. For consideration of all fees paid, Global Cuts grants the non-exclusive rights to mechanically reproduce and/or synchronize to any film, video, or audio productions, the footage, special effects, musical and sound effects compositions contained within the Global Cuts catalogue. The exclusive rights and copyrights to the music are held and controlled in whole by Global Cuts or in some cases by Global Cuts partners. Ownership of the media remains with Global Cuts or a Global Cuts partner.

2. The licensee has only the right to use the footage, musical and sound effects compositions of the Global Cuts Library as accompaniment or synchronization with other forms of media such as Narration, Slide, Video, Film, Kiosks, On-Air Ads, TV or Radio Broadcast, Music-On-Hold, etc. The owner or user of this library package may not copy, decompile, sell, or reproduce the media or any part of the content, by themselves contained herein in any matter, way, shape, or form, or make use of addition of vocals to the music tracks for song purposes without prior written consent from Global Cuts.

3. The total liability of Global Cuts under this license is limited to that part of the consideration paid to Global Cuts and/or its dealers. Global Cuts assumes no liability, and grants no warrantee to performance or product. Global Cuts assumes no liability for the misuse or use of this product resulting in any personal or corporate harm. End user should not use this product without proper knowledge and care of using Digital Media.

4. This agreement may not be modified orally and is binding and effective upon the opening / use of this package or it’s CD's enclosed within. This agreement, it's rights, and/or the material contained within, are not transferrable. The media contained within this package cannot be re-sold, traded, copied, donated, decompiled, auctioned, or given away. This is a single site/user agreement, granted to the original purchaser only.

5. All rights specifically not granted to the licensee are reserved by Global Cuts or a Global Cuts partner.

6. Use of the Media Files for WEB/CD-ROM/DVD:

YOU MAY: (a) use the Media files for Web Site Media enhancement as embedded or hidden Media files only, but not downloads, and for CD-ROM/DVD / Video program products for resale. CD-ROM/DVD Media files must also be embedded or hidden from end user. Media files cannot freely or visibly reside on any CD-ROM/DVD or Website as non embedded, or "hidden" files.

YOU MAY NOT: (a) distribute copies of any of the Media Files or the documentation to others; (b) rent, lease or grant sub-licenses of other rights to the Media files; (c) provide use/sale/redistributing of the Media files in a computer service business, network, BBS, Internet, time-sharing, multiple CPU or multiple user arrangement without the prior written consent of Global Cuts.

2. Copyright. The Media Files are owned by Global Cuts or a Gobal Cuts partner, and its structure, organization and code are the valuable trade secrets of Global Cuts. The Media Files are also protected by Copyright Law and International Treaty provisions. You agree not to modify, adapt, translate, reverse engineer, de-compile, disassemble or otherwise modify the Media Files. You may use trademarks only to identify printed output produced by the Media Files, in accordance with accepted trademark practice, including identification of trademark owner's name. Such use of any trademark does not give you any rights of ownership in that trademark. Except as stated above, this Agreement does not grant you any intellectual property rights to the Media Files.

3. No Warranty. The Media Files are being delivered to you AS IS and Global Cuts and its partners makes no warranty as to its use or performance. Global Cuts AND ITS SUPPLIERS DO NOT AND CANNOT WARRANT THE PERFORMANCE OR RESULTS YOU MAY OBTAIN BY USING THE Media FILES OR DOCUMENTATION. Global Cuts, ITS PROVIDERS AND ITS SUPPLIERS MAKE NO WARRANTIES, EXPRESSED OR IMPLIED, AS TO NON-INFRINGEMENT OF THIRD PARTY RIGHTS, MERCHANTABILITY, OR FITNESS FOR ANY PARTICULAR PURPOSE. IN NO EVENT WILL Global Cuts, ITS PROVIDERS OR ITS SUPPLIERS BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES, INCLUDING ANY LOST PROFITS OR LOST SAVINGS, EVEN IF A Global Cuts REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY.

4. Governing Law and General Provisions. This Agreement will not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded. If any part of this Agreement is found void and unenforceable, it will not affect the validity of the balance of the Agreement, which shall remain valid and enforceable according to its terms. This Agreement shall automatically terminate upon failure by you to comply with its terms. This Agreement may only be modified in writing signed by an authorized officer of Global Cuts.

If a recognizable person, brandname, logotype, artpiece or talent appears in Global Cuts material, use for commercial purposes may infringe a right of privacy or publicity. Therefore, permission should be obtained from the recognizable person or talent. If the proposed use of the Global Cuts material could be viewed as a commercial exploitation of that person. However, if the intended use of Global Cuts material is primarily for communicative purposes, i.e., books, newspapers, and magazines reporting facts of historical significance (constitutionally protected media uses), then such uses will generally be considered not to infringe such personal rights. In some cases Global Cuts has signed Model Releases for the persons appearing in our pictures. In other cases we can help obtaining permission from that person.
